What is a copyright licensing agreement?

How to create an agreement for a copyright licensing

You need to include these parts in your copyright agreement:

1. Basic Information

You should include the following clauses in your copyright licensing agreement, just as you would with any other type of contract:
  • Write out the names and descriptions of all parties involved in the license agreement. Names must match those on the official ID cards of the parties (i.e. driver's license and Articles of Incorporation in the case of companies).
  • Name(s), description(s), and the number of works being licensed to the licensee: List the work or works that you are licensing. Include a list of all works, arranged by size, medium, and name. Include a brief description of each work. Consider adding an Exhibit if the list becomes too long.
  • An ownership statement showing who has the copyright to the work. State the owner of the title, trademarks, and copyright as well as all other rights related to the work. You can, for example, say that the Licensor is the owner of the copyright and trademarks in the work entitled "Ocean". '"
  • Date(s) on which the license agreement is effective: State when the parties are bound by the terms of the agreement, and when it will expire (i.e. 50 years after the date of execution or termination).

2. Copyright-license-specific information

Include the following information regarding the work and the terms of the license:

Right granted: List the rights that you are granting to the licensee. Discuss what the licensee is allowed to do with the work. Can they perform it publicly and allow others to do so? Can they use an excerpt of the work to market or publicize the work? Also, you should consider the following: The geographic area where the copyright is valid: Where the licensee can use the licensed work. It can be an entire country, state, region, or even a few countries.

Exclusive or Non-exclusive?

 Indicate whether this license is exclusive.
List your obligations and rights as a licensee. The majority of licensors will include the right to review all work that is done by them based on the licensed works. You might also include the right to ask for a review anytime or with advance notice.
List the obligations and rights of the licensee. Identify what he will be responsible for. As an example, "Licensee is solely responsible for all funding of the marketing work."
Payments : Indicate how and when you will be paid by the licensee for the rights that you have granted them.

Nondisclosure Clause:  This clause will prevent either party from disclosing confidential information and trade secrets. It's basically a nondisclosure agreement.

Noncompete Clause: The clause will prevent you from licensing a work that could be in competition with the licensed work.

Termination clause Identify when and how an agreement may be terminated.
